Motion to engage a Body Corporate Manager on a temporary basis

01. Interim engagement of Body Corporate Systems Pty Ltd as Body Corporate Manager until 31 March 2026

THAT Body Corporate Systems Pty Ltd be engaged as the body corporate manager on a temporary basis to supply administrative services to the body corporate commencing on 1 December 2025 and ending on 31 March 2026 at a cost of $180.00 Excl. GST per lot per annum plus disbursements, in accordance with the Administration Agreement, and further that any one (1) or two (2) members of the committee execute body corporate to the Administration Agreement;

AND THAT Body Corporate Systems Pty Ltd be appointed from the date of this Vote Outside Committee Meeting until the commencement of the tabled and final administration agreement on a casual basis and under the same terms as the tabled agreement at no cost to the Body Corporate;

AND THAT an officer of Body Corporate Systems Pty Ltd be appointed as the Public Officer for taxation purposes;

AND THAT Body Corporate Systems Pty Ltd be authorised to keep custody of the common seal;

AND THAT Body Corporate Systems Pty Ltd be authorised to engage an insurance broker to provide insurance renewal terms to the committee on renewal of the existing policy;

AND THAT Body Corporate Systems Pty Ltd registers the service of notice address for the Body Corporate for Northmarque CTS 43944 at the Department of Natural Resources and Mines as:

Understand Votes Outside Committee Meetings

A Vote Outside Committee Meeting (VOCM) is a crucial process for committees to make some decisions without holding a physical or online meeting, by circulating a written motion to committee members and having them vote within a set time.
Part 4, Division 4 (Chapter 3) of the Body Corporate and Community Management (Accommodation Module) Regulation 2020 (Qld) provides the guide for how the process operates. The steps below explain the process for Lot owners.
  1. The committee can only decide matters that are not 'restricted issues' (which must go to a general meeting) and must still follow the Body Corporate and Community Management Act 1997 (Qld) and the (Accommodation Module) Regulation.
  2. Some committee decisions are made 'outside a committee meeting', meaning the committee members vote on a written motion (or verbally if an emergency) instead of meeting in person or by electronic means.
  3. Aany voting committee member who owes a body corporate debt is not allowed to vote on the outside‑meeting motion.
  4. The secretary (or another authorised committee member) must give notice of the motion to all committee members, or, in an emergency, to as many members as it is practical to contact.The normal rule is written notice, but in an emergency the notice can be oral or by another appropriate method.
  5. At the same time as the committee is notified (or as soon as practicable in an emergency), advice of the motion must also be given to each lot owner, unless an owner has previously told the secretary in writing that they do not wish to receive advice of committee matters.
  6. Each voting committee member who is entitled to vote then gives their vote on the motion, normally in writing; in an emergency, votes can also be given orally or by another appropriate method.
  7. For most motions, voting must be completed within 21 days after the notice of the motion is given (this is called the 'relevant period').
  8. The motion is decided if, within the relevant period, either
    1. a majority of all committee members entitled to vote agree, or
    2. one‑half or more of those members do not agree, in which case it is not passed.
  9. Once the motion is decided, the committee must give written notice of the decision to the person who made the request or submitted the motion, as soon as practicable.
  10. Any motion decided outside a committee meeting will be confirmed at the next committee meeting and recorded in the minutes.
